Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and VAIF STUDIO LLC ("VAIF Studio," "we," "us," or "our"), a Michigan limited liability company. By creating an account or accessing the VAIF Studio platform, website, APIs, and related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

Description of Service

VAIF Studio is a backend-as-a-service and developer platform that provides database management, API generation, file storage, real-time subscriptions, serverless functions, and AI-powered code generation (VAIF Copilot). The Service is offered through free and paid subscription plans.

Account Registration & Security

To use the Service, you must register for an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at legal@vaif.studio if you suspect unauthorized access to your account.

AI-Generated Code & Intellectual Property Ownership

All code, schemas, configurations, and other content generated by VAIF Copilot or any AI feature of the Service based on your prompts belongs to you. VAIF Studio claims no ownership or license over content generated for you through the AI features. You are solely responsible for reviewing, testing, and deploying any AI-generated output.

Acceptable Use

You agree not to use the Service to:

• Engage in any illegal activity or violate any applicable laws or regulations.
• Abuse, overload, or interfere with the Service or its infrastructure.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Send unsolicited messages, spam, or use the Service for mass mailing.
• Upload malicious code, viruses, or any content designed to harm the Service or other users.
• Impersonate any person or entity or misrepresent your affiliation.
• Access another user's account or data without authorization.

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

Subscription, Billing & Refunds

Paid plans are billed on a monthly or annual basis through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time; cancellations take effect at the end of the current billing period. Unused time on monthly plans is not refunded. Annual plans may be eligible for pro-rated refunds at our discretion.

We reserve the right to change pricing with 30 days' advance notice. Price changes do not apply to the current billing cycle.

Service Availability

We strive to maintain 99.9% uptime for the Service, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, infrastructure updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.

Rate Limiting

The Service enforces rate limits on API calls and other operations based on your subscription plan. You agree to abide by the applicable rate limits. Exceeding rate limits may result in throttled requests or temporary suspension of access. Details of rate limits for each plan are published on our pricing page.

DMCA & Copyright Complaints

We respect the intellectual property rights of others. If you believe that content hosted on the Service infringes your copyright, submit a DMCA takedown notice to legal@vaif.studio with the following information:

• Identification of the copyrighted work you claim has been infringed.
• Identification of the material on the Service that you claim is infringing, with sufficient detail for us to locate it.
• Your contact information (name, address, telephone number, and email).
• A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.
• Your physical or electronic signature.

Intellectual Property

The Service, including its software, design, branding, logos, and documentation, is the property of VAIF STUDIO LLC and is protected by copyright, trademark, and other intellectual property laws of the United States and applicable international treaties. Nothing in these Terms grants you any right to use the VAIF Studio name, logos, or branding without our prior written consent.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR USE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAIF STUDIO LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. You may export your data before termination using the Service's export features. We will retain your data for 30 days after account termination, after which it will be permanently deleted.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Michigan, and you consent to the personal jurisdiction of such courts.

Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Last Updated" date at the top of this page and, where appropriate, by email or in-app notification. Your continued use of the Service after any changes constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.
